Hoche Avocats Advises UL Invest on Its Majority Investment in Innovorder, a Leading Provider of Digital Solutions for the Restaurant Industry
Hoche Avocats advised UL Invest on its €20 million investment in Innovorder, a leading player in the digitalisation of the restaurant industry. The transaction combined the acquisition of shares from existing investors and a capital increase, providing the company with the resources required to accelerate its AI transformation, implement an ambitious buy-and-build strategy, and become the European leader in digital solutions for the foodservice sector.
Hoche Avocats advised UL Invest on the corporate aspects of the transaction with Louis Leroy (Partner), Amandine Doury (Counsel) and Joana Seddik (Associate); on tax matters with Mathilde Le Roy (Partner) and Inès Leroy (Associate); and on employment law matters with Frédérique Cassereau (Partner) and Thibault Minjollet (Associate).
Parallel Avocats advised the sellers, with Jérémie Aflalo (Partner) and Awa Yaffa (Associate).
UL Invest, the family office of Laurent Useldinger, is a €300 million investment platform based in Luxembourg and Paris. It invests directly in European B2B technology companies, primarily through majority stakes and with a long-term investment approach. Its strategy focuses on vertically specialised SaaS software providers with strong technological differentiation and international growth potential, investing between €5 million and €30 million in France and Western Europe.
